4. GOVERNING LAW, ARBITRATION, LIABILITY LIMITATIONS AND END-USE COMPLIANCE

4.1) Governing Law & Dispute Resolution: This Agreement, and any non-contractual obligations arising out of or in connection with it, are governed by the laws of the Hong Kong Special Administrative Region, including the Sale of Goods Ordinance (Cap. 26). Any dispute, controversy or claim arising out of or relating to this Agreement, including its existence, validity, interpretation, performance, breach or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the notice of arbitration is submitted. 4.3) Aggregate Liability Cap: The Seller's total, cumulative financial liability for any valid, proven claim arising out of this transaction — whether rooted in contract, tort, strict liability, or breach of warranty — shall be strictly capped at one hundred percent (100%) of the net value paid on the specific invoice giving rise to the claim.

4.4) Buyer's Responsibility for End-Use Compliance: The Buyer is solely responsible for ensuring that purchased products are used in compliance with all applicable laws, safety standards, and hazardous area classifications in the country and region of deployment.
